Terms of Service

1. Acceptance of Terms

By accessing or using Omni Sales (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you are using the App on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall include that organization.

If you do not agree to these Terms, you must immediately discontinue use of the App.

2. Definitions

"Company," "we," "us," or "our" refers to Omnipresence Ventures India Private Limited, the operator of Omni Sales.

"App" or "Service" refers to the Omni Sales platform, including all web and mobile applications, APIs, and related services.

"User" or "you" refers to any individual or entity accessing or using the Service.

"Organization" refers to the business entity that subscribes to the Service and manages its Users.

"Customer Data" refers to all data submitted, uploaded, or generated by Users through their use of the Service.

3. Account Registration & Security

To use the App, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to notify us immediately at info@omnipresence.in if you suspect unauthorized access to your account. We are not liable for any loss arising from unauthorized use of your account where you have failed to safeguard your credentials.

4. License & Use Rights

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the App solely for your internal business purposes in connection with field force management and workforce tracking.

This license does not include the right to sublicense, resell, or distribute the App or any part of it to third parties. We reserve all rights not expressly granted in these Terms.

5. Acceptable Use Policy

You agree not to:

• Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to the App, other user accounts, or our systems and networks.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• Interfere with or disrupt the integrity or performance of the App or its underlying infrastructure.
• Upload or transmit any malicious code, viruses, or harmful data through the App.
• Use the App to track individuals without their knowledge or proper consent as required by applicable law.
• Use the App in a manner that infringes upon the intellectual property rights of any third party.

6. Data Ownership & Privacy

Your Data: You retain all ownership rights to Customer Data you submit through the App. By using the Service, you grant us a limited license to process, store, and transmit your Customer Data solely for the purpose of providing and improving the Service.

Our Data Practices: Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Data Portability: Upon termination of your account, you may request an export of your Customer Data within 30 days. After this period, we may delete your data in accordance with our retention policies.

7. Payment & Billing

Certain features of the App require a paid subscription. By subscribing to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as expressly stated in these Terms or as required by applicable law.

We reserve the right to modify pricing with at least 30 days' prior notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

If payment is not received when due, we may suspend access to the paid features of the Service until payment is made.

8. Intellectual Property

The App, including all software, design, text, graphics, logos, trademarks, and other content (excluding Customer Data), is the exclusive property of Omnipresence Ventures India Private Limited and is protected by applicable intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in our intellectual property, except for the limited license to use the App as described in Section 4.

9. Disclaimers & Warranties

The App is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. We do not guarantee the accuracy, completeness, or reliability of any data, including GPS location data, generated through the App.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Omnipresence Ventures India Private Limited, its directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the App.

Our total aggregate liability for all claims arising out of or relating to these Terms or the App shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim, or INR 10,000, whichever is greater.

11. Indemnification

You agree to indemnify, defend, and hold harmless Omnipresence Ventures India Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may terminate your account at any time by contacting us at info@omnipresence.in or through the account settings within the App.

We may suspend or terminate your access to the App at any time, with or without cause, including but not limited to breach of these Terms. Upon termination, your right to use the App ceases immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and governing law shall survive termination.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, notify you via in-app notification or email. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India.

Before initiating any formal legal proceedings, you agree to first attempt to resolve disputes informally by contacting us at info@omnipresence.in. We will make reasonable efforts to resolve the matter within 30 days.
